Referral Program Terms

The definitions used in the Provet Cloud Terms of Service which can be viewed by clicking here have the same meaning in these referral program terms. 

1. Scope: 

   1. Our current referral programs from time to time, including in each case the name of the company operating the program (Program Sponsor), the benefits of a successful referral (Benefit) which is submitted during the qualifying period (Referral Period), and our associated policies (Program Rules), are published on this website at https://www.provet.cloud/cloudsource (each being a Referral Program).

   2. These referral program terms as amended from time to time (Referral Program Terms) govern participation in all Referral Programs (which must be in accordance with the Program Rules) and become binding on the Program Sponsor and an Introducer (as defined below) when the Introducer makes an introduction in accordance with section 3 (Referral Process).

2. Eligibility: A Referral Program is open to each current and past customer who has previously entered into a Subscription Agreement with us or who is or was a party to an enterprise agreement with the Program Sponsor or any of its affiliates. Each such current or past customer who submits a referral in accordance with section 3 is referred to in these Referral Program Terms as an Introducer.

3. Referral Process: 

   1. To participate in a Referral Program, an Introducer must introduce to the Program Sponsor a veterinary practice which is interested in receiving the Provet Cloud Service (Customer); the Introducer must not introduce a Customer who has not consented in advance to the introduction being made. 

   2. Each introduction must be sent via email, social media, or other method that complies with the Program Rules and must include the Introducer’s unique referral link or code.

4. Reward: 

   1. The Program Sponsor will, or will procure that one of our affiliates will, provide the Introducer with the Benefit, provided that all the following conditions are satisfied:

      1. the Customer has not (i) purchased or received the Provet Cloud Service previously or (ii) been engaged in any two-way correspondence in writing with us, the Program Sponsor, or any other member of our group during the six (6) months immediately before the date of the introduction; and

      2. the Customer enters into an Agreement or enterprise agreement with us, the Program Sponsor, or another member of our group under which the Customer subscribes to the Provet Service (each being a Customer Contract).

   2. The date of an introduction shall be the date on which the Introducer’s introduction of the Customer is first received by the Program Sponsor according to the Program Sponsor’s records.

   3. We, the Program Sponsor, or any our affiliates may deal with an introduction made by you as we or they see fit, including whether to enter into a Customer Contract or not.

5. Liability: 

   1. The only entity that has any liability under or in connection with a Referral Program is the Program Sponsor operating the Referral Program, and neither we nor any of our affiliates has any obligation or liability to the Introducer (or anyone else) under or in connection with a Referral Program (unless we or they are the relevant Program Sponsor operating the Referral Program).

   2. The Program Sponsor is not responsible for lost, stolen, or misdirected referrals or Benefits and neither we, the Program Sponsor, nor any of our affiliates has any liability to the Introducer if we or they decide not to progress an introduction or do not enter into a Customer Contract, and the Introducer is not entitled to any explanation of any decision.

   3. The total liability of the Program Sponsor for all claims arising out of or in connection with the Referral Program (whether for breach of contract, negligence, misrepresentation or otherwise) shall be limited to an amount equal to the Benefit provided to the Introducer, save that nothing in these Referral Program Terms affects the liability of the Program Sponsor for non-payment of the Benefit, fraud, wilful default, or any other liability to the extent it cannot be excluded or limited by law.

6. Amendments: The Program Sponsor may amend or withdraw a Referral Program, and we may amend the Referral Program Terms, without notice; any such amendment shall take effect from the date on which the amendment is first made available for inspection on this website.

7. Governing law: These Referral Program Terms shall be governed by and construed in accordance with the laws of Finland without reference to its choice of law rules.
